ACCEPTANCE OF TERMS

Please read these Terms of Use ("Terms") carefully before downloading, accessing, or using the OurSphere application, any Tack GPS hardware device, or any related products and services provided by Tack One Pte Ltd (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (available at tackgps.app). If you do not agree with any part of these Terms, please discontinue use of the Service immediately.

CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you by:

Posting the revised Terms on our website and in the OurSphere app with an updated "Last updated" date; and
Sending a notification via the OurSphere app or by email, where appropriate.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, please stop using the Service.

ELIGIBILITY

To use the Service, you must meet the following eligibility requirements:

You are at least 18 years of age and legally capable of entering into a binding agreement; or
You are between 13 and 17 years of age, and are using the Service under the supervision of, and with the consent of, a parent or legal guardian who agrees to be bound by these Terms on your behalf.

The Service is not intended for, and must not be used by, individuals under the age of 13. If we become aware that a user is under 13, we reserve the right to immediately suspend or terminate their access.

Parents and legal guardians who permit a minor to use the Service accept full responsibility for that minor's use of the Service, including compliance with these Terms and all applicable laws.

ABOUT OUR SERVICE

Tack One Pte Ltd is a Singapore-based company that develops location intelligence products and services, including:

Tack GPS and Tack GPS Plus — multipurpose hardware GPS trackers using Hybrid Location Technology (GPS, Wi-Fi, and IoT mobile networks) designed to help users track loved ones, pets, and valuables;
OurSphere — a companion mobile application (available on iOS and Android) that enables real-time location tracking, location history, safe zone alerts, fall detection notifications, one-click SOS alerts, and location sharing between app users; and
Enterprise dashboard and related tools for business users managing multiple devices.

Certain features and capabilities may vary between devices and between subscription tiers. Not all features are available in all countries or regions.

ACCEPTABLE USE AND PROHIBITED CONDUCT

You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you agree that you will not:

Use the Service for any illegal, harmful, or unauthorised purpose;
Use the Service to stalk, harass, intimidate, surveil, or harm any person; • Track any individual without their knowledge or lawful consent;
Share, distribute, or otherwise exploit another person's location data or personal information without their explicit and informed consent;
Attempt to gain unauthorised access to, interfere with, damage, or disrupt any part of the Service, including servers, networks, or databases;
Transmit or introduce any viruses, malware, ransomware, or other harmful code;
Falsify your identity, location, or any data to mislead others or circumvent the Service's features;
Scrape, crawl, or use automated methods to extract data from the Service without prior written permission from Tack One Pte Ltd;
Engage in any fraudulent, deceptive, or manipulative activity in connection with the Service;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
Modify, copy, distribute, sublicense, sell, or create derivative works from any content or software that forms part of the Service, except as expressly authorised by us;
Infringe the intellectual property rights, privacy rights, or other rights of Tack One Pte Ltd, other users, or any third party;
Use the Service in a manner that violates any applicable local, national, or international law or regulation.

We reserve the right to suspend or terminate your access to the Service, without notice, for any violation of these rules. In serious cases, we may also refer the matter to relevant law enforcement authorities.

SUBSCRIPTIONS AND BILLING

Certain features of the Service, including Tack GPS tracking functionality, require a paid subscription ("Tack Cloud"). By subscribing, you agree to the following terms:

6.1 Subscription Plans. Tack GPS device functionality requires a Tack Cloud subscription for network access and location updates. Subscription plans and pricing are detailed on our website at tackgps.app. OurSphere is currently available for free; however, premium membership tiers may be introduced in the future and will be subject to their own terms.
6.2 Billing Cycle. Subscriptions are billed in advance on a recurring basis (monthly or annually) based on your selected plan. By subscribing, you authorise Tack One Pte Ltd to charge your designated payment method for all applicable subscription fees and taxes.
6.3 Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel auto-renewal at any time through your account settings on our website or by contacting us at support@tackgps.app.
6.4 Price Changes. We reserve the right to modify subscription pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
6.5 Cancellation. You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date. Subscription fees already paid are non-refundable except as set out in Section 6.6 or as required by applicable law.
6.6 Refunds. Subscription fees are generally non-refundable. We may, at our sole discretion, consider refund requests submitted within a reasonable time on a case-by-case basis. To request a refund, please contact support@tackgps.app with the details of your purchase.
6.7 Termination. Due to Prolonged Inactivity. If your Tack GPS device has been activated before, and has no active Tack Cloud subscription for a continuous period of twelve (12) months or more, Tack One Pte Ltd reserves the right to permanently terminate the product and all associated services linked to that device. Prior to such termination, we will provide you with at least thirty (30) days' prior written notice via the email address associated with your account. If you do not reactivate the device or reinstate an active subscription within this thirty (30) day notice period, termination will proceed automatically at the end of the notice period. Upon permanent termination under this clause, any device-specific data, settings, and associated service entitlements will be permanently deleted. Tack One Pte Ltd shall not be liable for any loss of data or access resulting from termination in accordance with this clause. This clause does not affect any rights you may have under applicable consumer protection laws.

RETURNS AND REFUNDS

Our returns and refunds policy for physical Tack GPS devices and accessories is set out in our separate Returns Policy, available at tackgps.app/returns. The Returns Policy is incorporated into these Terms by reference.

INTELLECTUAL PROPERTY

All content, features, technology, and functionality available through the Service — including but not limited to software, firmware, text, graphics, logos, icons, user interface elements, and the overall compilation and arrangement thereof — are the exclusive property of Tack One Pte Ltd or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret law.

All trademarks, service marks, and trade names used in connection with the Service, including "Tack GPS", "Tack GPS Plus", "OurSphere", "Hybrid Location Technology", and "Indoor Elevation Finder™", are proprietary to Tack One Pte Ltd. You may not use any of these marks without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial purposes. This licence does not include any right to:

Reproduce, redistribute, or publicly display any part of the Service;
Modify, adapt, translate, or create derivative works based on the Service;
Reverse engineer, decompile, or extract the source code of any part of the Service;
Sublicense or transfer any rights granted under these Terms.

Any unauthorised use of the Service or its content may result in termination of your access and may give rise to legal liability.

PRIVACY AND LOCATION DATA

Your privacy is important to us. Our collection, use, and handling of personal data, including location data generated by your use of Tack GPS devices and the OurSphere app, is described in our Privacy Policy, which is incorporated into these Terms by reference and is available at tackgps.app.

You acknowledge and agree that:

Location data is inherently sensitive. You are responsible for ensuring that any individual whose location is tracked using our Service has provided their informed consent, where required by applicable law.
You must not use the Service to covertly track, monitor, or surveil any person without their knowledge or consent.
Tack One Pte Ltd may use anonymised and aggregated location and usage data for the purpose of improving the Service, subject to our Privacy Policy.

THIRD-PARTY SERVICES AND PLATFORMS

The Service relies on third-party infrastructure and platforms, including Google Cloud Services, Amazon Web Services, and mapping services provided by Google Maps. Your use of the Service may also be subject to the terms and conditions of these third-party providers.

We are not responsible for the availability, accuracy, or reliability of any third-party services, nor for any disruptions, errors, or losses arising from their use. Links or integrations with third-party platforms do not constitute our endorsement of those platforms.

The Service is made available through third-party storefronts, including Amazon, Lazada, and Shopee. Purchases made through these platforms are subject to the terms and conditions of the relevant retailer.

DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Tack One Pte Ltd does not warrant that:

The Service will meet your specific requirements or expectations;
The Service will be available continuously, uninterrupted, secure, or error-free;
Location data provided by the Service will be accurate, complete, or up to date at all times;
The Service will be free from bugs, viruses, or other technical issues.

Location tracking accuracy may be affected by external factors beyond our control, including GPS signal availability, network conditions, device settings, building materials, and environmental conditions. You should not rely solely on the Service for safety-critical or emergency purposes.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Tack One Pte Ltd, its affiliates, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of, or inability to use, the Service, including but not limited to:

Loss of profits, revenue, data, goodwill, or business opportunities;
Personal injury or property damage arising from your use of the Service (except where caused by our gross negligence or wilful misconduct);
Unauthorised access to or alteration of your account, devices, or location data;
Any inaccuracy, delay, or failure in location data resulting from network issues, device settings, or environmental conditions;
Interruptions or cessation of any part of the Service;
Third-party conduct or content accessed through the Service.

In any event, our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total subscription fees paid by you to Tack One Pte Ltd in the six (6) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Tack One Pte Ltd and its affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of or access to the Service;
Your violation of these Terms;
Your violation of any applicable law or the rights of any third party; or
Any location data you collect, share, or process using the Service.

GENERAL PROVISIONS

14.1 Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
14.2 Entire Agreement. These Terms, together with our Privacy Policy, Returns Policy, and any other policies incorporated herein by reference, constitute the entire agreement between you and Tack One Pte Ltd regarding your use of the Service, and supersede all prior agreements or understandings.
14.3 Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
14.4 Waiver. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Tack One Pte Ltd.
14.5 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without restriction.
14.6 Force Majeure. Tack One Pte Ltd shall not be liable for any failure or delay in performance arising from circumstances beyond our reasonable control, including natural disasters, acts of government, telecommunications failures, pandemics, or other force majeure events.
14.7 Notices. Any notices or communications from you to Tack One Pte Ltd under these Terms should be sent to support@tackgps.app. Notices from us to you may be sent to the email address associated with your account or posted within the OurSphere app.
